Terms of service
The terms on which Nulhus Ltd provides the Lupa platform.
1. Who these terms are between
Nulhus Ltd, company number 15747694, registered in England and Wales at 231 Hinton Way, Great Shelford, Cambridge, CB22 5AN, and the company whose people use the platform. The person accepting them confirms they may bind their company.
2. What we provide
Access to the Lupa platform for modelling behind the meter solar and battery storage, as it exists at the time. We may change how it works, and we will not remove something a customer relies on without notice.
3. Accounts
Access is for named people at one company. Credentials are not shared. An administrator adds and removes people and is responsible for who has access. We may suspend an account being used in a way that threatens the service or another customer.
4. The trial
A trial account runs for sixty days from sign-up and includes twenty analyses, forty invoice parses and twenty-five invitations. When the period or an allowance is used up, access to those functions stops and the data is kept. A trial carries no obligation on either side to continue.
5. Fees
Subscription fees are as agreed in writing with the customer, payable in advance for the period agreed. Fees are exclusive of VAT and other taxes, which are added where they apply. Late payment may lead to suspension after notice.
6. Your data
The customer owns everything it uploads and everything the platform produces from it. We gain no ownership of it, and no right to use it beyond running the service for that customer. We do not use it to train or improve any model. What we do with it is described on the privacy page, which forms part of these terms.
7. Our software
We own the platform, and nothing here transfers any part of it. The customer may use it for its own business, including work for its own clients, and may not copy it, take it apart, or resell access to it.
8. What the results are, and are not
The platform produces estimates from the data supplied to it. They are an assessment tool and are not investment advice, not a warranty of future performance and not a substitute for engineering design or professional advice. Dispatch modelling assumes complete knowledge of a future year, which no real installation has, and the platform reports this and applies a discount. Results are only as good as the data supplied.
9. Availability
We aim to keep the service available and do not promise uninterrupted access. Planned maintenance is notified where practical.
10. Liability
Nothing excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. Otherwise neither party is liable for indirect or consequential loss, or for loss of profit, revenue or anticipated savings, and our total liability in any twelve month period is limited to the fees paid by that customer in that period.
11. Confidentiality
Each party keeps the other's confidential information confidential and uses it only for the purpose it was shared for.
12. Ending it
Either party may end a subscription at the end of its current period by written notice. We may end it sooner for a material breach that is not put right within thirty days of notice. On ending, access stops and the retention periods on the privacy page apply.
13. Changes to these terms
We may change them, and material changes are notified to account holders by email before they take effect.
14. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
